Your relationship with us
Hello and welcome! These Terms of Service ("Terms") are an agreement formed between you ("You") and PANORASOCIAL TECHNOLOGY PTE, LTD., the operator of GetsMe. ("Company", "GetsMe", "we" or "us") and cover the website and the related applications (the "App") operated on behalf of us, and together with any content, tools, features and functionality offered on or through our Website and App (the "Services" or "Product").
These Terms govern your access to and use of the Services. Please read them carefully, as they include important information about your legal rights. By accessing and/or using the Services, you're agreeing to these Terms. If you don't understand or agree to these Terms, please don't use the Services.
For purposes of these Terms, "you" and "your" means you as the user of the Services. If you use the Services on behalf of a company or other entity then "you" includes you and that entity, and you represent and warrant that (a) you are an authorized representative of the entity with the authority to bind the entity to these Terms, and (b) you agree to these Terms on the entity's behalf.
Note: these Terms contain an arbitration clause and class action waiver. By agreeing to these Terms, you agree (a) to resolve all disputes with us through binding individual arbitration, which means that you waive any right to have those disputes decided by a judge or jury, and (b) that you waive your right to participate in class actions, class arbitrations, or representative actions. You have the right to opt-out of arbitration as explained below.
We are not a licensed medical care provider and the App is not intended to replace professional medical advice, or to diagnose, treat, or manage any illness or medical condition. Please consult a licensed physician or other qualified healthcare provider before making any decisions or taking any actions that could affect your health and safety. Never disregard professional medical advice or delay seeking it because of something you have read within the App.
Changes to Terms and Services
We may amend these terms from time to time, and we will use commercially reasonable efforts to give all users reasonable notice of any material changes to these terms, such as through notices on our platform, but you should also read the terms at regular intervals to check for such changes. We will also update the "last update" at the top of these terms to reflect the effective date of such terms. Your continued use of the services beyond the effective date of the new terms will indicate your acceptance of the new terms after we have fulfilled our obligations as informed. If you do not agree to the new terms, you must stop accessing or using the services.
Eligibility
You may only use the App and/or Services if you are eighteen (18) years of age or older and not barred from using the App or receiving the Services under the laws of the applicable jurisdiction, and have the legal capacity and authority to enter into this Agreement and form a binding contract with us;
You may not use the Products if you are under 18. You may not use the Products if you have been a convicted sex offender, accused or convicted of any human trafficking or modern slavery crime; lacking legal capacity; or legally prohibited, in any way, to use the Products by the laws of the country you reside in;
You may not use the Products if you are located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and if you are listed on any U.S. Government list of prohibited or restricted parties.
Any use, registration or access to the Products by a person who does not fulfill the eligibility requirements above is unauthorized, unlicensed, and in violation of these Terms.
You hereby affirm that you fully understand these Terms, and represent and warrant that you are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations and warranties set forth in these Terms, and to abide by and comply with the terms and conditions of these Terms.
We may terminate your account, delete any Content or information that you have posted on the Services, and/or prohibit you from using or accessing the Products (or any part of the Services) if we do believe that you do not fulfill the eligibility requirements above.
Description of the App and the Services
We provide Products, (Apps and Services) as described below.
Accompany you on a journey of meaningful connection and daily growth through an AI-powered relationship. We help you experience companionship, emotional support, and shared moments with your virtual partner. By understanding your interactions and routines, we provide a personalized, relevant, and engaging companionship through tailored conversations, shared memories, and thoughtful check-ins.
We design our advanced technology and interactive systems to ensure a consistent and seamless emotional experience. This supports you in building connection, enjoying daily interactions, reflecting on shared moments, and staying engaged through features such as customizable partner appearances, interactive storylines, meaningful conversation logs, memory tracking, gentle reminders, and responsive companionship. We provide AI-generated narratives and interactions to help you foster a unique bond and enjoy a consistent, caring presence in your daily life.
Research ways to make our Products and Apps better. We constantly look to improve our Products and carry out research in order to develop and test our Products and provide new ones. This includes analyzing data about our users and understanding how they use our Products. This includes developing advanced technologies such as automated method so that our Products can be used safely – for example to improve our ability to detect and remove illegal content.
Safety. Safety on our site is very important to us. We deploy technical systems supported by dedicated teams to detect misuse of our Products. Where we learn of improper content or conduct, we take action, including, but not limited to blocking or disabling accounts. We share data with our affiliates and third parties when we detect improper content or conduct. You understand and agree that we may monitor or review any and all Content that you transmit or share through our Products, including the live stream and your video chat screen, only for safety and security reasons.
Global access to our Products. To operate our Products on a global basis we need to store and distribute data around the world, including outside your country of residence. This infrastructure includes third parties who help support our Products as well as our Affiliates.
Your Account
To access and use certain content of this software, you may need to create an account with us ("Your Account"). Your account is your personal account and you are prohibited from giving, lending, transferring or otherwise allowing any other person to access or use your account. Your user identifiers (such as user ID) assigned by the platform in our services remain our property and we have the right to disable, recycle and reuse these identifiers once you or we terminate or deactivate your account for any reason. You are responsible for: (i) protecting the information of your account, including any password used to access your account and your services, and (ii) using our services under your account. If you know or suspect that your account or password has been compromised, you should promptly notify us via [email protected]. Unless we receive and confirm notification from you that your account and/or its password has been compromised, we will consider you to be using your account. You agree to be solely responsible (to us and others) for activities that occur under your account. We reserve the right to disable your user account at any time, including your failure to comply with any provision of these terms under our reasonable advice, or your activity in our discretion, will or may cause harm, damage, violation or infringement of any third party rights, or violation of any applicable laws or regulations.
Conditions Of Use
User Conduct. In addition to agreeing to comply with our Policy which is incorporated herein, you agree to comply with the following conditions in using the Services. You are solely responsible for all code, video, images, information, data, text, software, music, sound, photographs, graphics, messages or other materials ("Content") that you upload, post, publish or display (hereinafter, "Upload") or email or otherwise transmit via the Services. The following are examples of the kind of Content and/or use that is illegal or prohibited by GetsMe. GetsMe reserves the right to investigate and take appropriate legal action against anyone who, in GetsMe's sole discretion, violates this provision, including without limitation, removing the offending Content from the Website or Services, suspending or terminating the account of such violators and reporting them to applicable law enforcement authorities.
You agree to not use the Website or Services to:
upload or transmit any Content that: (i) infringes any intellectual property or other proprietary rights of any party; (ii) you do not have a right to upload under any law or under contractual or other relationships; (iii) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (iv) poses or creates a privacy or security risk to any person; (v) constitutes unsolicited or unauthorized advertising, promotional materials, commercial activities and/or sales, "junk mail," "spam," "chain letters," "pyramid schemes," "contests," "sweepstakes," or any other form of solicitation; (vi) is unlawful, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another's privacy, hateful racially, ethnically or otherwise objectionable; or (vii) in the sole judgment of GetsMe, is objectionable or which restricts or inhibits any other person from using or enjoying the Website or Services, or which may expose GetsMe or its users to any harm or liability of any type;
interfere with or disrupt the Website or Services or servers or networks connected to the Website or Services, or disobey any requirements, procedures, policies or regulations of networks connected to the Website or Services;
violate any applicable local, state, national or international law, or any regulations having the force of law;
impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;
solicit personal information from anyone under the age of 18;
harvest or collect email addresses or other contact information of other users from the Website or Services by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications;
advertise or offer to sell or buy any goods or services for any business purpose that is not specifically authorized;
further or promote any criminal activity or enterprise or provide instructional information about illegal activities;
obtain or attempt to access or otherwise obtain any materials or information through any means not intentionally made available or provided for through the Website or Services;
lease, lend, sell or sublicense any part of the Services;
try to get around any technological measure designed to protect the Services or any technology associated with the Services;
reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to any Services source code, in whole or in part (unless a portion of code contained within the Services is released as open source and the open source license governing such code expressly permits reverse engineering, copying or other modification)
use the Services to create malicious or abusive content (as determined by GetsMe in its sole discretion) or any content that violates a GetsMe policy; or use the Services (or any part thereof or any technology contained therein) in any manner that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any applicable laws.
Intellectual Property
All intellectual properties (including any future updates, upgrades and new versions) of the platform and our other services and software will continue to belong to us and our licensors. You have no right to use our intellectual properties unless expressly provided in these terms. In particular, you have no right to use our trademarks or product names, logos, domain names or other unique brand features without our prior written consent. Any comments or suggestions you may make about our services are entirely voluntary and we will be free to use them at our discretion without payment or other obligations to you. We respect all intellectual properties and ask you to do so. As a condition of accessing and using the services, you agree not to use the services to infringe any intellectual properties, for example, not to upload any content owned by any other person to the platform. We reserve the right, with or without notice, at any time in our sole discretion to block access and/or terminate the account of any user who infringes or is accused of infringing any copyright or other intellectual properties.
When you submit content to the Services, you represent and warrant that you own all right, title and interest in and to that content (including, without limitation, all copyrights and rights of publicity), or that you have received all necessary permissions, clearances, and authorizations in order to submit it to the Services for the uses contemplated in these Terms.
When you submit such content, you retain whatever ownership rights in that content you had to begin with. You grant GetsMe to the fullest extent permitted under the law, a nonexclusive, worldwide, royalty-free, fully paid up, transferable, sublicensable, perpetual, irrevocable license to copy, display, upload, perform, distribute, transmit, make available, store, modify, exploit, commercialize and otherwise use the content for any GetsMe related purpose in any form, medium or technology now known or later developed, including without limitation to operate, improve and provide the Services.
Premium Services, Paid Content
From time to time, we may provide additional features and/or Services that you request and pay for ("Premium Services''). We may also offer from time to time in our sole discretion, certain Premium Services and certain paid Content and items as part of the Products for free, whether for a trial period or otherwise. Unless expressly stated otherwise, references made in these Terms to the "Services'' shall include the Premium Services and all types of paid Content and items offered under the Services.
Subject to our sole discretion, the Premium Service and paid Content and items under the App or Services may be offered either on a subscription basis, per usage basis or as otherwise described at the time of your purchase, and may be payable either in advance, in arrears, per usage, or as otherwise described at the time of your purchase.
If you purchase any Premium Service and/or any paid Content and items offered under the Services or App, you hereby agree to pay all charges to your account, including all applicable taxes and transaction costs, in accordance with our standard billing terms in effect at the time the charges are payable, regardless of whether such costs are charged by the Application Stores. Before your purchase, the full and final price of any Premium Service and/or any paid Content will be displayed.
You agree to abide by any relevant third parties' terms of service or other legal agreements that govern your use of a given payment processing service and/or method in relation to the App or Services.
If you purchase Premium Services and/or any paid Content and items under the Services on a subscription basis, you acknowledge and agree that payments will be made on a recurring basis and by the payment method and payment intervals you have selected, until such subscription for Premium Services and/or paid Content and items is terminated.
Refunds
When you purchase any Premium Service and/or any paid Content or item, you purchase digital content that we supply. Before you make the purchase, you consent to us immediately performing the Service or delivering the Content or item after your purchase. As a consequence of this consent, you can no longer request a refund for that particular Service, Content or item based on your right to withdraw from a consumer purchase.
You may request a full refund for any Premium Service and/or any paid Content and item purchased from an Application Store if permitted by, and pursuant to the refund rules of the Application Store, subject to the following exceptions: (1) refunds are not available to users who are banned by us and/or its community; and (2) refunds are not available for partially used purchases.
You may request a refund for any Premium Service and/or any paid Content and item purchased outside of the Application Store within 14 days of purchase by contacting our customer service via [email protected], subject to the following exceptions: (1) refunds are not available if they are not permitted by payment channels and/or platforms; and (2) full refunds are not available for partially used purchases. You acknowledge that, upon a successful request, your money will be refunded in the same manner you used to make the original payment.
Third Party Websites and Services
The Services may provide, or third parties may provide, links or other access to other sites and resources on the Internet or to third-party applications. GetsMe has no control over such sites, resources or applications and GetsMe is not responsible for and does not endorse such sites, resources or applications. You further acknowledge and agree that GetsMe will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any content, events, goods or services available on or through any such sites, resources or applications. Any dealings you have with third parties found while using the Services are between you and the third party, and you agree that GetsMe is not liable for any loss or claim that you may have against any such third party.
Indemnity and Release
You agree to release, indemnify and hold GetsMe and its affiliates and their officers, employees, directors and agents harmless from any from any and all losses, damages, expenses, including reasonable attorneys' fees, rights, claims, actions of any kind and injury (including death) arising out of or relating to your use of the Services or any related information, any User Content, your application(s) to GetsMe or the results thereof, your violation of these terms of service or your violation of any rights of another.
Disclaimer of Warranty
Your use of the Service is at your sole risk. GetsMe expressly disclaims all warranties of any kind, whether express, implied or statutory, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. GetsMe makes no warranty that (i) the Services will meet your requirements, (ii) the Services will be uninterrupted, timely, secure, or error-free, or (iii) the results that may be obtained from the use of the Services will be accurate or reliable.
Limitation of Liability
You expressly understand and agree that GetsMe will not be liable for any indirect, incidental, special, consequential, exemplary damages, or damages for loss of profits including but not limited to, damages for loss of goodwill, use, data or other intangible losses (even if GetsMe has been advised of the possibility of such damages), whether based on contract, tort, negligence, strict liability or otherwise, resulting from: (I) the use or the inability to use the Services or any related information; (ii) unauthorized access to or alteration of your transmissions or data; (iii) statements or conduct of any third party (including users) on the Services; or (iv) any other matter relating to the Services. In no event will GetsMe's total liability to you for all damages, losses or causes of action exceed one hundred dollars ($100).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations set forth above may not apply to you. If you are dissatisfied with any portion of the site or with these terms of service, your sole and exclusive remedy is to discontinue use of the Services.
Confidentiality
All aspects of the arbitration proceeding, and any ruling, decision, or award by the arbitrator, will be strictly confidential for the benefit of all parties.
Termination
You agree that GetsMe, in its sole discretion, may suspend or terminate your account (or any part thereof) or use of the Services and remove and discard any content within the Website or Services, for any reason, including, without limitation, for lack of use or if GetsMe believes that you have violated or acted inconsistently with the letter or spirit of these Terms or GetsMe's Policy. GetsMe may also in its sole discretion and at any time discontinue providing the Services, or any part thereof, with or without notice. You agree that any termination of your access to the Services under any provision of these Terms or our Policy may be effected without prior notice, and acknowledge and agree that GetsMe may (but has no obligation to) immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Services. Termination of your account or access to any component of the Services will not terminate GetsMe's rights to your User Content. Further, you agree that GetsMe will not be liable to you or any third party for any termination of your access to the Services.
General
Entire Agreement. These Terms constitute the entire agreement between you and GetsMe and govern your use of our Services, superseding any prior agreements between you and GetsMe with respect to the Services.
Choice of Law, Jurisdiction, Venue. These Terms are governed by the laws of the Singapore without regard to its conflict of law provisions. Any dispute arising out of or in connection with these terms, including any issues relating to the existence, validity or termination of these terms, shall be arbitrated by Singapore International Arbitration Center ("SIAC") in accordance with such arbitration procedures and ultimately resolved by arbitration. The arbitration rules of Singapore International Arbitration Center ("SIAC Rules") currently in force are deemed to be incorporated by reference into these terms. The arbitration shall take place in Singapore. The arbitration tribunal shall consist of three (3) arbitrators. The language of arbitration shall be English.
Severance. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect.
No Waiver. Any failure of GetsMe to exercise or enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
Expiration of Claims. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Site or these Terms of Service must be filed within one (1) year after such claim or cause of action arose or be forever barred.
Admissibility. A printed version of this agreement and of any notice given in electronic form will be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
Assignment. You may not assign these Terms without the prior written consent of GetsMe, but GetsMe may assign or transfer these Terms of Service, in whole or in part, without restriction.
Section Headings. The section titles in these Terms of Service are for convenience only and have no legal or contractual effect.
Notice. Notices to you may be made via either email or regular mail. The Site may also provide notices to you of changes to these Terms or other matters by displaying notices or links to notices generally on the Website.
